Privacy Policy Terms of Service

Overview

These Terms of Service apply to your use of the Theo Ai Services unless otherwise governed by terms executed directly between you and Theo Ai.

Theo Ai, Inc. (“Theo Ai,” “we,” “us,” or “our”) provides predictive analytics and legal technology services. This document outlines the Terms of Service (“Terms”) governing your use of Theo Ai’s services, including artificial intelligence technologies (“AI Services”), websites, applications, plugins, and any other services specified in any mutually executed order form (collectively, the “Services”). The “Subscription Agreement” includes these Terms, any price schedule, and any order form(s) for the Services executed by you and Theo Ai. These Terms incorporate the Theo Ai Privacy Policy and any other documents that specifically reference these Terms.

By clicking “I accept,” taking action to indicate acceptance, or using the Services, with or without registration, you agree to these Terms. If you accept on behalf of a company or entity, you confirm that you are authorized to do so. If you do not agree with these Terms, do not use the Services.

Use During Evaluation

If you use the Services during a trial or evaluation (“Evaluation”), such use is governed by these Terms and is on an “as-is” basis without any warranties. Data uploaded during the Evaluation may be permanently lost unless otherwise transitioned to a paid service.

You may not access the Services if you are a direct competitor or for any other competitive purposes such as benchmarking or monitoring.

Services, Restrictions, and Customer Obligations:

  1. License: Subject to these Terms, we grant you a nonexclusive, nontransferable, revocable right to use the Services per our documentation and applicable laws for your internal business purposes.
  2. Prohibited Actions: You agree not to:
    • Reverse engineer, decompile, or disassemble any aspect of the Services.
    • Use any robot, spider, or other automated devices to monitor or copy the Services.
    • Modify, make derivative works of, or sublicense the Services.
    • Use the Services in a way that could damage our services or others’ use.
    • Use the Services for illegal or unauthorized purposes.
    • Circumvent any security or access control measures.
    • Use the Services to send spam or other unauthorized communications.

Registration and Account Integrity

You must register for an account to access certain Services, providing accurate and complete information. You are responsible for maintaining the confidentiality of your account details and for all activities under your account. Notify us immediately of any unauthorized use.

Term and Termination

These Terms commence upon your use of the Services and continue until terminated by either party. Either party may terminate for any reason upon written notice. Specific terms apply upon termination, including deletion of data post-termination.

Intellectual Property

You retain all rights to your data (“User Content”). You grant Theo Ai a license to use your User Content as necessary to provide and improve the Services.

Confidentiality

Both parties agree to maintain the confidentiality of information shared during the use of the Services. Confidential information does not include publicly known information or information received from third parties outside of this relationship.

Limitation of Liability

IN NO EVENT SHALL THEO AI, INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SOFTWARE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT PAID BY YOU TO THEO AI, INC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100. THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Predictive Engine

Theo Ai generates predictions of the outcomes of fact patterns in legal disputes according to the information submitted by you.  Theo Ai makes no warranty as to the accuracy of such outcomes and the projected dollar amounts of possible monetary awards (if applicable and if any).  By using Theo Ai’s product and services, you accept and acknowledge that Theo Ai’s predictions are determined by its Data Models and predictive algorithms, based on analysis of thousands of legal disputes, including verdicts, settlements, arbitrations and reported cases.  The Limitation of Liability above applies to this statement.

Fees and Payment

Services are available under a subscription model. Details on subscription fees and payment terms are available on our website and are incorporated here by reference.

Privacy and Data Security

Your use of the Services is also governed by the Theo Ai Privacy Policy, detailing how we handle personal and other data.

Modifications to Terms

We may modify these Terms at any time, with notice provided on our website or directly to you. Continued use of the Services after changes indicates your acceptance of the new Terms.
